COUNTY FLOOD CONTROL AND WATER CONSERVATION DISTRICT MET IN REGULAR SESSION,
TUESDAY, JUNE 18, 2002 AT 1:30 P.M., WITH THE FOLLOWING DIRECTORS PRESENT: VICE-CHAIR KEN SLAVENS (CITY OF ST. HELENA),
MEMBERS PAUL COATES (CITY OF CALISTOGA), MARY LOU HOLT (TOWN OF YOUNTVILLE),

Engineer requests approval of and authorization for the Chairperson, or in his
absence the Vice-Chairperson to sign Amendment No. 4 to Agreement 61(FC) with
LFR, Inc. (Levine-Fricke), extending the term to June 30, 2003 for the
preparation of soil sampling and disposal plans for the Napa River/Napa Creek
Flood Protection Project. A-61

Engineer requests approval of and authorization for the Chairperson, or in his
absence the Vice-Chairperson, to sign Amendment No. 7 to Agreement No. 3645
with The Carmen Group, increasing the maximum amount from $157,000 to $180,000
to provide District with representation before the federal government and

6. District Engineer requests approval of and
authorization for Chairperson, or in his absence Vice-Chairperson to sign
Amendment No. 4 to Agreement No. 36(FC) with Erickson, Beasley, Hewitt &
Wilson for legal services, setting the maximum amount of compensation at
$1,000,000 for the period of July 1, 2002 to June 30, 2003. A-36

7. District
Engineer requests approval of and authorization for the Chairperson, or in his absence
the Vice-Chairperson to sign Amendment No. 1 to Agreement No. 166 (FC) with
Miller, Starr & Regalia, increasing the maximum amount of compensation to
$1,550,000 and extending the term of the Agreement to June 30, 2003 for legal

8. District Engineer requests approval of and authorization for District sponsorship of the Napa River Festival to be held on September 2, 2002, with a corresponding contribution of $1,000.
9. District
Engineer requests approval and authorization for the Chairperson, or in his
absence the Vice-Chairperson, to sign Amendment No. 6 to agreement No. 3219
(FC) with the State of California – California Conservation Corps (CCC) for a
total cost contract limit of $100,000 for the fiscal year 2002-2003, for

Engineer requests approval of and authorization for the Chairperson, or in his
absence the Vice-Chairperson, to sign an Agreement with GeoSyntec Consultants
to perform work as an expert witness relating to the litigation entitled Napa
County Flood Control and Water Conservation District v. Atlantic Richfield
Company, et al., Case No. 26-11855 as a result of soil and groundwater
contamination at Oil Company Road. A-175

11. District Engineer requests approval of
and authorization for the Chairperson, or in his absence the Vice-Chairperson,
to sign Amendment No. 5 to Agreement No. 33 (FC) with the City of Napa,
decreasing the maximum reimbursable amounts for previous years to reflect
actual expenditures, and increasing the amount by $4,231,458 for a new maximum
of $8,395,635 to provide planning, engineering, design and construction
services related to the Napa River/Napa Creek Flood Protection Project for the
term July 1, 2002 through June 30, 2003. A-33

12. District
Engineer requests approval of and authorization for the Chairperson, or in his
absence the Vice-Chairperson, to sign an Agreement with Winzler and Kelly
Consulting Engineers for $415,148 for professional services and $15,770
for expenses, for the term ending on June 30, 2003 for South Segment sewer
construction management and inspection services. A-176 (FC)
13. District
Engineer requests approval and authorization for the Chairperson, or in his
absence the Vice Chairperson, to sign an agreement with Qwest Communications
Corporation and all other documents including deeds required to consummate an
exchange of fiber optics conduit and related access easements necessary in
consequence of relocation of the Napa Valley Wine Train (NVWT) tracks between
Streblow Drive and Soscol Avenue in connection with construction of the Napa
River/Napa Creek Flood Protection Project. A-177 (FC)
14. District Engineer requests approval of and authorization for the Chairperson, or in his absence the Vice Chairperson, to sign a deed and all other documents required to consummate the transfer of property to the Napa Valley Wine Train for the purposes of replacement of the facility commissary on that property generally described as a rectangle of land 226’ X 55’ located between Napa Valley Wine Train tracks 151 and 152 as shown on the plans of the NVWT Relocation from Streblow Drive to Soscol Avenue and whose northernmost boundary is 320’ south of the south line of 8th Street.
