1.         Call to Order; Roll Call.

THE BOARD OF DIRECTORS OF THE LAKE BERRYESSA RESORT IMPROVEMENT DISTRICT MET IN SPECIAL SESSION, TUESDAY, JANUARY 4, 2005 AT 9:00 A.M. WITH THE FOLLOWING DIRECTORS PRESENT:  PRESIDENT MARK LUCE, DIRECTORS BILL DODD, BRAD WAGENKNECHT, DIANE DILLON AND

HAROLD MOSKOWITE.  THE MEETING WAS CALLED TO ORDER BY

PRESIDENT LUCE AT 9:10 A.M.

THE BOARD ELECTED DIRECTOR DILLON AS PRESIDENT AND DIRECTOR DODD AS VICE PRESIDENT.
